1. Introduction

Welcome to Eiffels AI (“Service”), a trademarked product operated by Vega Business Intelligence Oy (“Vega BI Oy,” “we,” “us,” or “our”).

These Terms of Use (“Terms”) govern your access to and use of Eiffels AI and any associated applications, APIs, and integrations within WhatsApp and Microsoft Teams.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use Eiffels AI.

3. Description of Service

Eiffels AI is a cloud-based AI platform that operates entirely within WhatsApp and Microsoft Teams, providing AI-assisted data reporting, analytics, workflow automation, and B2B networking tools for real-world industries such as construction.

The Service integrates securely with third-party systems via approved APIs and automation protocols to deliver real-time insights and AI features without the need for installation or login credentials.

Key functions include:

• AI-assisted reporting and data generation (GenAI, LLM).
• Voice and text input for creating work logs and reports.
• Automated data collection through Robotic Process Automation (RPA).
• Big Data integration for decision support.
• Marketplace for B2B collaboration between users.

Use of Eiffels AI is subject to these Terms and to the platform policies of Meta (WhatsApp Business Platform) and Microsoft (Microsoft 365, Teams).

4. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts to use Eiffels AI. By using the Service, you represent that you meet these requirements.

5. User Accounts

Certain features may require account registration or linking to WhatsApp or Microsoft accounts. You are responsible for keeping your access secure and for any activity performed through your account. We may suspend or terminate accounts that violate these Terms or platform policies.

6. Acceptable Use and Prohibited Conduct

You agree to use Eiffels AI lawfully and ethically. You must not:

• Use the Service for illegal, fraudulent, or harmful purposes.
• Transmit unlawful content, spam, malware, or infringing materials.
• Attempt to access other users’ data without authorization.
• Reverse-engineer, decompile, or circumvent security features.
• Misuse the Service to collect data in violation of GDPR or third-party terms.

Vega BI Oy reserves the right to restrict or disable access if these rules are breached.

7. Integrations and Third-Party Systems

Eiffels AI may connect to third-party platforms such as ERP systems, cloud storage, or marketplaces. By enabling such integrations, you confirm you have authority to grant access and acknowledge that use is at your own risk. We implement encryption, token-based authentication, and continuous monitoring to protect data, but we cannot guarantee security outside our control. Vega BI Oy is not liable for losses caused by third-party systems, outages, or data inaccuracies originating from those sources.

8. Intellectual Property and Licensing

• Ownership: All rights to the Eiffels AI Service, technology, models, UI/UX, and branding belong to Vega BI Oy or its licensors.
• License: You receive a non-exclusive, non-transferable, revocable license to use the Service as authorized under these Terms.
• User Content: You retain ownership of content you upload or generate, granting Vega BI Oy a limited license to host, process, and display it to operate the Service.
• Feedback: You grant Vega BI Oy a perpetual, royalty-free license to use feedback for improvements.
• Reverse Engineering: Prohibited except where permitted by mandatory law.

9. Privacy and Data Protection

Eiffels AI processes data in accordance with the EU General Data Protection Regulation (GDPR) and other applicable laws.

For details on data handling, please refer to our Privacy Policy at https://eiffels.ai/privacy. Users retain rights of access, rectification, erasure, restriction, and portability. Requests can be submitted to support@eiffels.ai.

Vega BI Oy acts as a data controller for its own operations and as a data processor where it handles data on behalf of a business customer.

Data may be stored within the EU/EEA and, where necessary, transferred using EU Standard Contractual Clauses.

10. AI and Automation Disclaimer

Eiffels AI uses Artificial Intelligence and automation to generate content and insights. Outputs may contain errors, bias, or inaccuracies. Users must independently verify critical information and exercise judgment. The Service is not certified for use in medical, safety-critical, financial, or other high-risk applications, and such use is strictly prohibited.

11. Fees, Billing, and Subscriptions

Use of certain features may require paid subscriptions or project-based licenses. Unless otherwise agreed, all fees are due in advance, non-refundable, and subject to applicable taxes. We may suspend or terminate access for non-payment. Trial periods or discounts are at our sole discretion and may be withdrawn at any time.

12. Disclaimers and Limitations of Liability

• As-Is Basis: Eiffels AI is provided “as is” without any express or implied warranties, including merchantability, fitness for purpose, or non-infringement.
• Service Availability: No guarantee is made for uninterrupted operation or error-free performance unless covered by a separate Enterprise SLA.
• Indirect Losses: Vega BI Oy is not liable for indirect, incidental, consequential, special, or punitive damages.
• Liability Cap: To the maximum extent permitted by law, total aggregate liability shall not exceed the amount paid by the user for the Service in the 12 months preceding the claim (or €1,000, whichever is lower).
• Indemnification: You agree to indemnify and hold harmless Vega BI Oy from claims arising out of your use or misuse of the Service.
• Force Majeure: We are not responsible for failures beyond our reasonable control.

13. Termination and Data Retention

Either party may terminate use at any time. Upon termination, your license ends immediately. We may retain backup data for legal or security reasons for up to 90 days, after which data is deleted or anonymized. Users may request data export in a commonly used format within 30 days of termination.

14. Marketplace and Third-Party Interactions

Eiffels AI Marketplace enables users to connect with other businesses or individuals. Vega BI Oy is not a party to transactions between users and assumes no liability for accuracy, authenticity, or fulfilment of offers. Users must perform their own due diligence and comply with applicable laws.

15. Export Control and Sanctions Compliance

You agree to use Eiffels AI in compliance with all applicable EU and U.S. export control and sanctions laws.

16. Modifications to the Terms

We may update these Terms periodically. Material changes will be notified via email or in-app message. Your continued use after the effective date constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Finland, excluding conflict of law rules. For business users, disputes shall be resolved by binding arbitration under the rules of the Finnish Chamber of Commerce Arbitration Institute in Helsinki, Finland. For consumers, mandatory jurisdiction of their local courts applies.

18. Language and Version

These Terms are provided in English and constitute the official and binding version. Any translations are for convenience only.
